July 2011:
SOVR represented Geomega Resources Inc. (“GeoMega”), a Canadian issuer currently listed on the TSX-V. GeoMega raised Cdn.$5 million from both Canadian and U.S. institutional investors. GeoMega is currently developing a number of rare earth deposits in Quebec, Canada. As part of the capital raise GeoMega issued 6.4 million warrants exercisable at a price of Cdn. $2.85 per share. The aggregate gross funds raised including the exercise of all warrants is approximately Cdn $11.1 million.
May 2011:
SOVR is securities counsel for NOVO Energies Corp., and is currently advising the company with regards to a potential reverse merger with an Israeli biotech firm.
April 2011:
SOVR was hired as US counsel and assisted UK based counsel with the AIM listing and financing of an Australian mining company, Strategic Minerals PLC.
January 2011:
SOVR served as counsel for the reverse merger of Axiom Gold and Silver Corp., listed on the OTC-BB, a Mexican based silver and gold exploration company.
November 2011:
SOVR Represented a film production company in an international co-production with filming to be in multiple countries. The financing has been closed, and the production has begun filming. The drama-thriller movie is being produced by an Emmy Award winner. Budget – $350,000.
October 2010:
SOVR represented a film financier in connection with a $625,000 film production loan secured by a Michigan state tax credit, working on the lender side with a leader in independent film production. The loan offered by a lending company having a net worth in excess of $14,000,000, was closed in just one week. The horror-thriller film has a budget of $7,500,000 staring an A-list celebrity. Shooting on the yet to be released film has been completed.
September 2010:
SOVR, employing a Michigan state tax credit as security, represented a film financier in connection with a $600,000 film production loan. SOVR represented the lender, which has assets in excess of $14,000,000. The company is a leader in the production of independent films. The movie has a budget of $5,000,000. This sports-drama, now in post production, has multiple well known TV and movie star actors including a Golden Globe winner.
